Please read these Terms and Conditions (“Terms”) carefully before using blackarkresearch.com (the “Site”) or purchasing any products from Black Ark Research LLC (“Company,” “we,” “us,” or “our”). By accessing the Site, creating an account, or placing an order, you (“you,” “Buyer,” or “Customer”) agree to be bound by these Terms. If you do not agree, do not use the Site or purchase any products.
1. Research Use Only
1.1 Products are for research only. All products sold on this Site are intended solely for in-vitro laboratory research and scientific experimentation by qualified professionals. Products are NOT intended for human or animal consumption, injection, ingestion, inhalation, topical application, or any other use in or on the body.
1.2 Not drugs, supplements, or cosmetics. Products have not been evaluated or approved by the U.S. Food and Drug Administration (FDA) or any other regulatory authority. Products are not drugs, food, dietary supplements, cosmetics, or medical devices, and are not intended to diagnose, treat, cure, mitigate, or prevent any disease or condition.
1.3 No human-use guidance. The Company does not provide, and its employees and representatives are not authorized to provide, dosing, administration, or medical advice of any kind. Any request for such information may result in order cancellation and account termination.
1.4 Right to refuse sale. We reserve the right to refuse or cancel any order, without liability, if we have reason to believe the products will be used for any purpose other than lawful laboratory research, including where a Buyer references personal, human, or veterinary use in any communication.
2. Eligibility and Buyer Representations
By accessing the Site or placing an order, you represent and warrant that:
- a. You are at least 21 years of age;
- b. You are a qualified researcher or are purchasing on behalf of a legitimate research institution, laboratory, or business;
- c. You have the knowledge, training, and facilities to safely handle, store, and dispose of research chemicals;
- d. You will use products solely for lawful laboratory research purposes;
- e. You will not sell, resell, or transfer products to any person for human or animal use;
- f. You will comply with all applicable federal, state, local, and international laws and regulations regarding the purchase, possession, and use of the products; and
- g. All information you provide to us is true, accurate, and complete.
Providing false information constitutes a material breach of these Terms.
3. Buyer Responsibility and Assumption of Risk
3.1 You are solely responsible for determining whether the purchase, possession, and use of any product is lawful in your jurisdiction.
3.2 You assume all risks associated with the handling, storage, use, and disposal of products. Products may be hazardous and should be handled only by trained individuals using appropriate protective equipment and laboratory practices.
3.3 The Company is not responsible for any misuse of products or use contrary to these Terms or product labeling.
4. Product Information and Certificates of Analysis
4.1 Product descriptions, specifications, and any Certificates of Analysis (COAs) are provided for informational and research reference purposes only. COAs reflect testing of a specific batch at a specific time and are not a guarantee of any particular result.
4.2 Information on the Site, including any references to published literature, is provided solely for educational and scientific reference and does not constitute a claim, recommendation, or endorsement of any use.
4.3 We make reasonable efforts to display accurate product information but do not warrant that descriptions, images, pricing, or other content are error-free, complete, or current.
5. Orders, Pricing, and Payment
5.1 All orders are subject to acceptance and product availability. Receipt of an order confirmation does not constitute acceptance.
5.2 Prices are listed in U.S. dollars and may change without notice. We reserve the right to correct pricing errors and cancel affected orders.
5.3 You agree to provide current, complete, and accurate payment and billing information. You authorize us and our payment processors to charge your selected payment method for all amounts due.
5.4 We reserve the right to limit quantities, require identity or institutional verification, and refuse service to anyone at our sole discretion.
5.5 You are responsible for any applicable sales tax, duties, or fees.
6. Shipping and Delivery
6.1 Shipping timeframes are estimates only and are not guaranteed. Details are provided in our Shipping Policy.
6.2 Risk of loss and title pass to you upon delivery of the products to the carrier.
6.3 Products may require temperature-controlled handling. Upon receipt, you are responsible for promptly storing products according to the storage guidance provided. We are not responsible for degradation resulting from delayed retrieval, improper storage after delivery, or incorrect shipping information provided by you.
6.4 We ship only to jurisdictions where products may be lawfully sold. [We currently ship only within the United States.] You are responsible for compliance with import laws of your jurisdiction.
7. Returns, Refunds, and Cancellations
7.1 Due to the nature of research materials, all sales are final except as described in our Refund and Return Policy.
7.2 Claims for damaged, incorrect, or missing items must be submitted within [7] days of delivery with order number and photographic evidence.
7.3 Opened, reconstituted, or improperly stored products are not eligible for return or refund.
7.4 Orders cancelled due to a breach of these Terms may not be eligible for a refund, to the extent permitted by law.
8. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, ALL PRODUCTS AND THE SITE ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT PRODUCTS WILL PRODUCE ANY PARTICULAR RESEARCH OUTCOME OR THAT THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE.
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMPANY AND ITS OWNERS, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY PERSONAL INJURY, ILLNESS, OR DEATH ARISING FROM THE MISUSE OF PRODUCTS OR USE CONTRARY TO THESE TERMS. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR ANY PRODUCT SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
10. Indemnification
You agree to indemnify, defend, and hold harmless the Company and its owners, officers, employees, agents, suppliers, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use or misuse of any product; (b) your breach of these Terms or any representation made herein; (c) your violation of any law or third-party right; or (d) any transfer of products by you to a third party.
11. Account Security
If you create an account, you are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately of any unauthorized use. We may suspend or terminate accounts at our discretion, including for suspected violation of these Terms.
12. Intellectual Property
All content on the Site, including text, graphics, logos, images, and software, is the property of the Company or its licensors and is protected by intellectual property laws. You may not copy, reproduce, distribute, or create derivative works without our prior written consent.
13. Prohibited Conduct
You agree not to:
- a. Use the Site or products for any unlawful purpose;
- b. Post reviews, comments, or content describing human or animal use of products;
- c. Misrepresent your identity, age, or qualifications;
- d. Resell products for human or animal consumption;
- e. Interfere with the Site’s security or operation, or use automated tools to access it without permission; or
- f. Initiate fraudulent chargebacks.
14. Privacy
Your use of the Site is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.
15. Dispute Resolution and Governing Law
15.1 Governing law. These Terms are governed by the laws of the State of Washington, without regard to conflict-of-law principles.
15.2 Informal resolution. Before filing any claim, you agree to contact us at Support@blackarkresearch.com and attempt to resolve the dispute informally for at least 30 days.
15.3 Arbitration. Any dispute not resolved informally shall be resolved by binding individual arbitration administered by [the American Arbitration Association] under its applicable rules, in [Snohomish County, Washington], except that either party may bring qualifying claims in small claims court.
15.4 Class action waiver. To the extent permitted by law, you agree to bring claims only in your individual capacity and not as a plaintiff or class member in any class or representative proceeding.
16. Changes to These Terms
We may update these Terms at any time. Changes take effect when posted with a new “Last Updated” date. Your continued use of the Site or purchase of products after changes are posted constitutes acceptance of the revised Terms. The version in effect at the time of your order governs that order.
17. Termination
We may suspend or terminate your access to the Site at any time, without notice, for any breach of these Terms. Sections regarding research use, disclaimers, limitation of liability, indemnification, and dispute resolution survive termination.
18. Miscellaneous
18.1 Entire agreement. These Terms, together with our Privacy Policy, Shipping Policy, and Refund and Return Policy, constitute the entire agreement between you and the Company.
18.2 Severability. If any provision is found unenforceable, the remaining provisions remain in full force and effect.
18.3 No waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.
18.4 Assignment. You may not assign these Terms without our consent. We may assign them without restriction.
